Phil, 

I have the fold down headrests on my seats and I have a tonneau cover
with pockets that I use on it now.  I just picked up a flat (no pockets)
tonneau cover and haven't had time to try it but I'm 99.9% certain it'll
fit since the pockets don't even touch the top of the seat when they are
pushed down below the rest of the tonneau cover, and the pockets are 2-3
inches below the rest of the tonneau when pushed down.  

I wanted the "clean" look of a tonneau cover with no pockets since I
already had the seats that allowed it.
